LLP annual filing
Every LLP files an annual return in Form 11 and a statement of account and solvency in Form 8 with the Registrar each year, whether or not it did any business. We prepare both forms from your accounts, have them signed by the designated partners and file them. With our income tax package, we also file the LLP's income tax return.

How it works
- 1
Share the year's accounts
Send us the LLP's balance sheet, profit and loss account and, if it's audited, the audit report. We list anything missing.
- 2
We prepare the forms
Form 11 shows the partners, their contributions and changes in the year. Form 8 shows the LLP's solvency and a summary of its accounts. We fill both from your records.
- 3
Partners sign
The designated partners check the forms and sign with their DSCs. A practising professional certifies Form 8.
- 4
Filing with the ROC
We file Form 11 and Form 8 with the Registrar and send you the receipts.
- 5
Income tax return
In the income tax package, we compute the LLP's income, file its return and send you the acknowledgement.
Form 11 and Form 8: what and when
Form 11 is the LLP's annual return. It lists the partners, their contributions and any changes during the year, and is due within 60 days of the end of the financial year, which is 30 May. Form 8 is the statement of account and solvency, and is due within 30 days from the end of six months of the financial year, which is 30 October.
Both forms are due for every financial year of the LLP, even one with no business, no bank transactions and no income.
Audit and late fees
Under the LLP rules, an LLP needs its accounts audited if its turnover for the year is more than ₹40 lakh or its partners' contribution is more than ₹25 lakh. A tax audit under income tax law is a separate test, based on that law's own limits.
If a form is filed late, the MCA charges an additional fee for every day of delay, and it adds up quickly. A few years of missed filings can cost far more than the filings themselves, so file on time or catch up early.
Frequently asked questions
Our LLP did no business this year. Do we still need to file?
Yes. Form 8 and Form 11 are due every year, even with nil turnover. If the LLP has stopped business for good, closing it with Form 24 can save years of filings and fees.
What are the due dates?
Form 11 is due by 30 May and Form 8 by 30 October, for the financial year that ended on 31 March. The income tax return has its own due date, which depends on whether a tax audit applies.
Does an LLP need an audit?
Only above the limits in the LLP rules: turnover of more than ₹40 lakh, or contribution of more than ₹25 lakh. A tax audit may separately apply under income tax law if turnover crosses that law's limit.
We missed earlier years. Can you help?
Yes. We file the pending years in order, with the additional fees the MCA charges. The fee shown here is for one year. We quote for earlier years once we've seen the records.
Who signs the forms?
The designated partners sign with their DSCs. If a DSC has expired, we can arrange a new one before filing.
Do designated partners need DIR-3 KYC?
Yes. Anyone who holds a DIN, including a designated partner, completes DIR-3 KYC when the MCA requires it. We can file it along with the annual forms.
