If your LLP has stopped business, you can apply to the Registrar to strike its name off with Form 24, instead of filing Form 8 and Form 11 every year for an LLP you don't use. We check that it qualifies, list what needs settling first, prepare the partners' declarations and the statement of accounts, and file Form 24.

How it works
- 1
Check eligibility
We confirm the LLP hasn't carried on business for at least a year and has no assets, liabilities or pending proceedings.
- 2
Catch up and settle
Pending Form 8 and Form 11 up to the year the business stopped are filed, debts are paid, the bank account is closed and GST is cancelled.
- 3
Declarations
The designated partners sign an affidavit and an indemnity, all partners give their consent, and a chartered accountant certifies the statement of accounts.
- 4
File Form 24
We file Form 24 with the attachments and pay the MCA fee at actuals.
- 5
Registrar's review
The Registrar examines the application and publishes a notice. If no objection stands, the LLP's name is struck off. We answer queries along the way.
When an LLP can apply
An LLP that hasn't carried on business for a year or more can apply to the Registrar to strike off its name. Before applying it should have no assets or liabilities, and its Form 8 and Form 11 must be filed up to the end of the financial year in which it stopped business.
All partners must agree, and the designated partners give an affidavit and an indemnity for any liability that comes up later. An LLP with assets to distribute or creditors to pay usually goes through voluntary winding up instead, which we quote for separately.
After the LLP is struck off
Striking off ends the LLP's existence, but it doesn't wipe out claims from before. Tax demands, GST dues or creditor claims that come up later can still be pursued, and the designated partners' indemnity is there for that.
That's why we check the tax position first, and suggest keeping the LLP's books and records after closure. Filing the final GST return and the last income tax return before applying avoids most loose ends.
Frequently asked questions
How long does it take to close an LLP?
Our part takes 5–7 working days once the LLP is ready to close. The Registrar's review and notice then take their own time, which we can't control.
Our LLP hasn't filed Form 8 and Form 11 for some years. Can we still close it?
Yes, after the pending forms up to the year the business stopped are filed, with the MCA's additional fees. We quote for them before starting.
Do all partners need to agree?
Yes. Form 24 needs the consent of all partners. If a partner can't be reached or disagrees, talk to us before you start.
What about GST and income tax?
Cancel the GST registration and file the final return, and file the LLP's income tax returns up to closure. Any tax demand should be settled before applying.
Is closing cheaper than keeping the LLP?
Usually, if you don't plan to use it. An inactive LLP still files Form 8 and Form 11 every year, and late fees add up if they're missed.
Can an LLP with assets be closed this way?
No. Form 24 is for LLPs with no assets or liabilities. Otherwise the LLP is wound up voluntarily, which takes longer; we quote for it separately.
