How it works

  1. 1

    Check the route

We look at where the new address is and tell you which approvals the move needs, what it will cost and how long our part takes.

  2. 2

    Resolutions

We draft the board resolution and, where needed, the notice and special resolution for the shareholders' meeting, and file the special resolution in MGT-14.

  3. 3

    Regional Director, for another state

For a move to another state, we publish the newspaper notice, notify creditors and the state government, and apply to the Regional Director in INC-23. We answer queries until the order is passed.

  4. 4

    File the new address

We file INC-22 with proof of the new office and, for a move to another state, the Regional Director's order in INC-28.

  5. 5

    Update the rest

We send you a checklist for GST, PAN, bank accounts, licences, letterheads and the name board at the new office.

Which approvals a move needs

Within the same city, town or village, the board can approve the move, and the company tells the Registrar in INC-22 within 30 days. Moving outside those limits but within the same state also needs a special resolution of the shareholders. If the new address falls under a different Registrar in the same state, the Regional Director must confirm the move first.

Moving to another state changes the registered office clause of the MOA, so it needs a special resolution and the approval of the Regional Director, acting for the Central Government. The company advertises the proposal and notifies its creditors before applying, and the Regional Director considers any objections.

After the move

GST registration is state-wise, so a move to another state usually means a new GST registration there, while a move within the state is an amendment to your existing registration. Bank accounts, PAN and TAN records, shop and establishment registration, professional tax and other licences also need the new address.

The company's name and registered office address must be shown outside the new office and on its letterheads, invoices and other official papers. Our checklist covers each of these.

Frequently asked questions

Can our registered office be a residential address?

Yes. A home can be the registered office, as long as it can receive and acknowledge letters, and you have the owner's no-objection and a recent utility bill.

How long does a move to another state take?

Our part, from drafting to filing the application, takes two to three weeks. The Regional Director then reviews the application and any objections, and that time isn't in our control. We track it and answer queries as they come.

What if the new city is under a different ROC in the same state?

Then the Regional Director must confirm the move before INC-22 is filed. This only arises in states with more than one ROC office. We tell you before you pay if it applies, and the extra fee for it.

Do we need to change our GST registration?

Yes. Within the state, you file a GST amendment for the new principal place of business. In another state, you'll usually need a new GST registration there. We can do either as a separate service.

Is a newspaper notice always needed?

It's needed for a move to another state. A move within the same city, or within the state under the same ROC, doesn't need one.

Can we use a co-working space or virtual office?

Yes, if you have a proper agreement with the provider, their no-objection letter and a recent utility bill for the premises, and the space can receive letters for the company.
