How it works

  1. 1

    Choose the name

We search the MCA and trademark records and tell you which of your proposed names fit the naming rules.

  2. 2

    Reserve it

We apply for the name in RUN. If the Registrar rejects it, we apply again with your next choice.

  3. 3

    Resolutions

The board calls a shareholders' meeting, and the shareholders pass a special resolution to change the name. We file it in MGT-14.

  4. 4

    Apply for the change

We file INC-24 with the amended MOA and AOA. The Registrar reviews it and, if satisfied, issues a fresh certificate of incorporation.

  5. 5

    Update everything else

We send you a checklist: PAN, TAN, GST, bank accounts, licences, letterheads, website and contracts.

What the law requires

A company changes its name by passing a special resolution and getting the Central Government's approval, which the Registrar gives on its behalf. The new name has to meet the same rules as a new company's name: it can't be identical or too similar to an existing company, LLP or registered trademark, and some words need extra approval.

A company can't change its name while its annual returns or financial statements are pending, or while it's in default on repaying deposits or debentures. We check this before you pay any MCA fee.

After the name change

The company stays the same legal person. Its assets, contracts, loans and legal cases carry on under the new name, and nothing needs to be transferred.

For two years after the change, the company shows its former name along with the new one outside its offices and on its letterheads and other papers. PAN, TAN, GST, bank accounts and licences all need updating, and it's worth protecting the new name with a trademark.

Frequently asked questions

How long does a name change take?

Our part takes 7–10 working days once we have signed documents. The Registrar then reviews the application, and the time it takes varies.

Will our contracts and bank accounts still be valid?

Yes. The name change doesn't affect the company's rights or obligations. You tell banks, clients and authorities, and they update their records.

Can we change the name if our annual filings are pending?

No. Pending AOC-4 or MGT-7 filings must be completed first. We can file them before applying for the change.

Can we use a name that's a registered trademark?

Only if you own the trademark or have the owner's written permission. Otherwise the Registrar may reject the name, and the owner could object later.

How is the name changed on GST?

GST takes the legal name from PAN, so PAN is updated first with the new certificate. The GST registration is then amended to the new name.

What if the new name is rejected?

Our fee includes one resubmission with your next choice. If the name is rejected again, a fresh application needs a new MCA fee, paid at actuals.
