How it works

  1. 1

    Send us the year's papers

The audited accounts, or your books if we're preparing them, along with details of shareholders, meetings and loans. We list anything missing.

  2. 2

    Accounts and audit

In the complete package, we finalise the books, prepare the financial statements and answer your auditor's queries until the audit report is signed.

  3. 3

    Board meeting and AGM

We draft the directors' report, the AGM notice and the minutes. The board approves the accounts and the shareholders adopt them at the AGM.

  4. 4

    Forms and signatures

We prepare AOC-4 and MGT-7 or MGT-7A. A director signs with their DSC, and the forms are certified where the rules require it.

  5. 5

    Filing and records

We file the forms with the ROC and send you the receipts. We note next year's due dates and remind you before they come up.

What a company files each year

Every company holds its AGM within six months of the end of the financial year, which for most companies means by 30 September. The audited financial statements go to the Registrar in AOC-4 within 30 days of the AGM, and the annual return in MGT-7 within 60 days. Small companies and One Person Companies file the shorter MGT-7A.

A One Person Company doesn't hold an AGM and files AOC-4 within 180 days of the year end. A new company can hold its first AGM within nine months of the end of its first financial year.

What happens if you don't file

Late forms attract an additional fee for every day of delay, with no upper limit, and the company and its officers can face penalties. The longer a filing waits, the more it costs.

If a company doesn't file its financial statements or annual returns for three continuous financial years, its directors become ineligible to be directors of any company for five years. The Registrar can also strike off a company that appears to have stopped business.

Other yearly items

Besides the annual filing, directors complete DIR-3 KYC when the MCA requires it, and the company files its income tax return. A company that has received loans or other money that isn't treated as a deposit files DPT-3, and one that owes money to micro or small enterprises for more than 45 days files MSME-1.

The statutory auditor must be independent of the company and can't keep its books. So we prepare the accounts and work with your auditor, but the audit itself is done by the auditor your company has appointed.

Frequently asked questions

When are AOC-4 and MGT-7 due?

AOC-4 is due within 30 days of the AGM, and MGT-7 or MGT-7A within 60 days. If the AGM is held on 30 September, that means late October for AOC-4 and late November for the annual return.

Our company did no business this year. Do we still file?

Yes. Every registered company files its accounts and annual return each year, even with nil turnover, and the accounts still need an audit. If you don't plan to restart the business, applying for dormant status or closing the company may cost less over time.

Do small companies need an audit?

Yes. Every company, whatever its size, has its financial statements audited by a chartered accountant appointed as its statutory auditor. Small companies get some relief in what they report, but not from the audit.

What is the difference between MGT-7 and MGT-7A?

MGT-7A is a shorter annual return for small companies and One Person Companies. Other companies file MGT-7. We check which one applies to you from the company's paid-up capital and turnover.

We missed filing for earlier years. Can you help?

Yes. We file the pending years in order, with the additional fees the MCA charges for the delay. The fee shown here is for one year. We quote for the earlier years after seeing your records, and tell you the government fees before we start.

Is the income tax return part of the annual filing?

No. It's a separate return filed with the Income Tax Department. Our complete package covers it, along with preparing the accounts.

Who signs the forms?

A director signs each form with their DSC. If a director's DSC has expired, we can arrange a new one before filing.
