Declaration as a Nidhi
Once the company meets the conditions, we file NDH-4. The Central Government reviews it and decides whether to declare the company a Nidhi.
What a Nidhi company is
A Nidhi is a company under section 406 of the Companies Act, 2013, formed to encourage thrift and savings among its members. It accepts deposits from, and lends to, its members only, and is governed mainly by the Nidhi Rules, 2014, issued by the Ministry of Corporate Affairs.
It's incorporated as a public company with at least three directors and seven members, and a paid-up equity share capital of at least ₹10 lakh. The name must end with 'Nidhi Limited'.
Becoming a declared Nidhi
Incorporation is only the first step. Within the time the rules set, the company must reach at least 200 members and the net owned funds the rules require, and then apply in Form NDH-4 to be declared a Nidhi by the Central Government.
The rules then govern how it runs: deposits are limited in relation to its net owned funds, part of the deposits must be kept in fixed deposits with banks, and interest rates are capped. A Nidhi can't issue preference shares or debentures, or advertise for deposits.
Ongoing filings
Besides the usual company filings, AOC-4, MGT-7 and its income tax return, a Nidhi files NDH-1, a return of statutory compliance, and half-yearly returns in NDH-3. It holds an AGM and has its accounts audited every year.
A Nidhi handles members' money, so plan its systems for deposits, loans and records before you register. We can talk the plan through with you first.
Frequently asked questions
Can a Nidhi company accept deposits from the public?
No. It can accept deposits only from its members and lend only to its members. Anyone who wants to deposit or borrow must first become a member by buying shares.
What can a Nidhi lend against?
Loans to members are secured, mainly against gold and silver jewellery, immovable property, or the member's own deposits, within the limits in the rules.
Is RBI registration needed?
No. A Nidhi doesn't register with the RBI as an NBFC. It's regulated by the Ministry of Corporate Affairs under the Nidhi Rules and must be declared a Nidhi by the Central Government.
How long does registration take?
Incorporation usually takes 15–20 working days once we have all documents and signatures. The NDH-4 declaration depends on how soon you reach the membership and funds, and on the government's review.
Can a Nidhi open branches?
Only once it has a record of profits, and only within its own state, subject to the limits and approvals in the Nidhi Rules. We check this before you plan to expand.
What are the government fees?
MCA fees depend on the authorised capital, stamp duty on the MOA and AOA depends on your state, and NDH-4 has its own filing fee. We tell you the exact amounts before filing and pay them at actuals.
