How it works
- 1
Tell us about the LLP
Proposed names, the business, the partners, who the designated partners will be, and each partner's contribution and profit share.
- 2
DSC and name approval
We get digital signatures for the designated partners and apply to reserve the name. If it's rejected, we file again with your next choice.
- 3
Incorporation in FiLLiP
We file FiLLiP with the partners' details, their consent and the DPIN applications. The designated partners sign it with their DSCs.
- 4
Certificate of incorporation
The Registrar issues the certificate with the LLPIN, and the LLP's PAN and TAN are allotted with it.
- 5
LLP agreement
We draft the LLP agreement, the partners sign it on stamp paper, and we file it in Form 3 within 30 days of incorporation.
What an LLP is
A limited liability partnership is a body corporate under the Limited Liability Partnership Act, 2008. It owns its assets and signs its own contracts, and each partner's liability is limited to their agreed contribution. A partner isn't personally liable for another partner's wrongful acts.
It needs at least two partners and at least two designated partners who are individuals, one of whom must be resident in India. There's no minimum contribution and no upper limit on the number of partners.
The LLP agreement matters
The LLP agreement sets each partner's contribution, profit share, duties and pay, and how partners join or leave. Without one, the default rules in the First Schedule of the Act apply, including equal sharing of profits, which rarely suits a real business.
The agreement must be filed with the Registrar in Form 3 within 30 days of incorporation, and later changes are filed in Form 3 too. Late filing attracts an additional fee for each day of delay.
Every year after
An LLP files an annual return in Form 11 by 30 May and a statement of accounts and solvency in Form 8 by 30 October, even in a year with no business. Its accounts must be audited once turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh.
It also files an income tax return every year, and its designated partners complete DIR-3 KYC. Our first-year package covers all of these.
Frequently asked questions
How long does LLP registration take?
Usually 10–15 working days from when we have all documents and signatures, plus a few days to sign and file the LLP agreement. Most of that time is the Registrar's review, which we track and answer for you.
What's the difference between a partner and a designated partner?
Designated partners are responsible for the LLP's compliance under the Act, such as its filings, and are liable for penalties if it isn't done. Every LLP needs at least two, who must be individuals with a DPIN.
Can an LLP raise investment?
It can admit new partners who bring in capital, but it has no shares, so angel and venture investors usually prefer a private limited company. Foreign investment in an LLP is allowed only in sectors where the FDI rules permit it.
Can I convert my partnership firm into an LLP?
Yes, if all the firm's partners become partners of the LLP. The LLP Act provides for the conversion, and the firm's assets and liabilities move to the LLP. Ask us about our business conversion service.
Is an LLP cheaper to run than a company?
Usually, yes. An LLP has no AGM or board meetings, fewer forms, and needs an audit only above the limits in the rules. A private limited company is audited every year, whatever its size.
How is an LLP taxed?
An LLP is taxed as a firm. Partners' share of profit isn't taxed again in their hands, and salary and interest paid to partners are deductible within the limits in the income tax law. We work out the numbers for your case before you register.
