How it works

  1. 1

    Agree the terms

Tell us the firm's name, business and address, each partner's capital and profit share, and any salary or interest on capital.

  2. 2

    Drafting the deed

We draft the deed, covering partners' rights and duties, banking powers, admission and retirement of partners, and dissolution. You review it and we revise it once.

  3. 3

    Stamp paper and signing

The deed is printed on stamp paper or e-stamped for your state's duty, signed by all partners before two witnesses, and notarised where needed.

  4. 4

    PAN for the firm

We apply for the firm's PAN with the signed deed. The firm can then open a current account and register for GST if it needs to.

  5. 5

Registration with the Registrar of Firms

We prepare the application with the partners' declarations and file it with your state's Registrar of Firms, who records the firm in the register and issues the certificate.

Why register a partnership firm

Under the Indian Partnership Act, 1932, registration is optional. But an unregistered firm can't sue third parties to enforce its contracts, and its partners can't sue the firm or each other to enforce rights under the deed or the Act. Registration keeps that door open, and banks, tenders and some licences ask for it.

A firm can register at any time, even years after it starts. After that, changes such as a new partner, a partner leaving or a new address are reported to the Registrar.

What a partnership firm is, and isn't

A partnership firm isn't a separate legal person. The partners own the business together and are personally liable, jointly and severally, for its debts, so a creditor can recover from any partner's own assets. A firm can have at most 50 partners.

If you want limited liability, look at an LLP. A firm suits small businesses where the partners trust each other, want few filings and don't plan to bring in outside investors.

What goes into a good deed

The deed should cover capital, the sharing of profits and losses, partners' salaries and interest on capital, who operates the bank account, how decisions are made, and what happens when a partner joins, retires or dies. Salary and interest to partners are deductible for income tax only if the deed provides for them, and only within the limits in the tax law.

Stamp duty on the deed depends on your state and sometimes on the capital. If a partner brings land or a building into the firm, the deed may also need registration with the sub-registrar, and we tell you if yours does.

Frequently asked questions

Is partnership firm registration compulsory?

No. A firm can run on an unregistered deed. But an unregistered firm can't sue to enforce its contracts, so most firms register, and it's easiest to do at the start.

How long does registration take?

Drafting and signing the deed takes a few days. Registration depends on your state's Registrar of Firms: some states process online applications in a few weeks, others take longer. We file and follow up, but the timing is the Registrar's.

Can a partnership firm get a bank account and GST registration?

Yes. With the deed and the firm's PAN, it can open a current account and register for GST. Banks often ask for the registration certificate too, which is another reason to register.

How many partners can a firm have?

At least two and at most 50. If you expect more, or want outside investors, consider an LLP or a company.

What happens when a partner joins or leaves?

The partners sign a new deed, often called a reconstitution deed, and report the change to the Registrar of Firms. If the firm is registered for GST, the change is updated there too. Our deed package covers the new deed.

Can a partnership firm become an LLP or a company later?

Yes. A firm can convert into an LLP under the LLP Act, or register as a company under the Companies Act. Ask us about business conversion when you're ready.
