How it works
- 1
Tell us about the company
Proposed names, the business you'll do, the director (often you), your nominee, and the capital you'll bring in.
- 2
DSC and name approval
We get your digital signature and apply to reserve the name, which ends with '(OPC) Private Limited'. If it's rejected, we file again with your next choice.
- 3
Drafting and signing
We draft the MOA, AOA, declarations and your nominee's consent in INC-3. You check them and sign online with your DSC.
- 4
Filing with the MCA
We file SPICe+ with the e-MOA, e-AOA and AGILE-PRO-S, which also covers PAN, TAN and, if you choose, GST.
- 5
Certificate of incorporation
The Registrar issues the certificate with the company's CIN, PAN and TAN. We send it with a checklist of what to do in the first 180 days.
What a One Person Company is
A One Person Company is a private company under the Companies Act, 2013 with just one shareholder. Like any company, it's a separate legal person: it owns its assets and signs its own contracts, and your liability is limited to the capital you put in.
The shareholder must be an individual who is an Indian citizen, living in India or abroad. You name a nominee, also an Indian citizen, who becomes the shareholder if you die or can no longer act. A person can form only one OPC and be the nominee in only one.
Lighter compliance, not none
An OPC doesn't hold an AGM, files a shorter annual return (MGT-7A), and doesn't need a cash flow statement in its accounts. With a single director, it doesn't need board meetings either.
It still needs an auditor, files its financial statements in AOC-4 and its income tax return every year, and its director completes DIR-3 KYC. Our first-year package covers all of these.
When to convert
Since 2021 there's no turnover or capital limit that forces an OPC to convert, and you can convert to a private or public company whenever you choose. You'll need to when a second shareholder comes in, such as an investor or a co-founder.
An OPC can't carry on non-banking financial activities, including investing in other companies' securities. If that's your plan, start with a private limited company instead.
Frequently asked questions
Who can form an OPC?
An individual who is an Indian citizen, living in India or abroad. Companies, LLPs and foreign nationals can't form one, and a person can form only one OPC.
What does the nominee do?
Nothing day to day. The nominee becomes the shareholder only if you die or become unable to act. They give written consent, and you can change your nominee later by filing the change with the Registrar.
Can an OPC have more than one director?
Yes. It needs at least one director and can have up to 15. Only the number of shareholders is fixed at one.
Is an OPC taxed like a proprietorship?
No. It pays tax as a company, at company rates, and you pay tax separately on any salary or dividend you take from it. Ask us to compare the tax both ways for your income before you decide.
Can I convert my proprietorship into an OPC?
There's no direct conversion. You register the OPC and then move the business, its assets and contracts into it, usually under a business transfer agreement. We can plan the move with you.
What are the government fees?
For most small OPCs the MCA filing fee is nil. Stamp duty on the MOA and AOA depends on your state and the authorised capital. We tell you the exact amount before filing and pay it at actuals.
