Commencement of business (INC-20A)
A company with share capital must declare, within 180 days of incorporation, that its subscribers have paid for the shares they agreed to take. Until it does, it can't commence business or borrow. We check the bank proof, prepare INC-20A, have it certified and file it with the Registrar.

How it works
- 1
Deposit the subscription money
Each subscriber pays for their shares into the company's bank account, preferably from their own bank account.
- 2
Send us the bank statement
We check that the amounts and names match the MOA, and flag anything that doesn't.
- 3
Prepare and certify
We prepare INC-20A, a director signs it with their DSC, and a practising professional certifies it.
- 4
File and confirm
We file the form with the Registrar and send you the receipt, with a list of the company's next compliance dates.
What INC-20A is
Companies with share capital incorporated from 2 November 2018 onwards must file a declaration of commencement of business in INC-20A within 180 days of incorporation. A director declares that every subscriber to the MOA has paid for the shares they agreed to take, and attaches the bank statement as proof.
The company can't commence business or exercise its borrowing powers until the declaration is filed. Where the business needs a regulator's approval, such as the RBI's, that approval is attached as well.
If it's filed late or not at all
Filing after 180 days attracts additional MCA fees, and the company and its officers can face penalties. If the declaration isn't filed and the Registrar has reason to believe the company isn't carrying on business, the Registrar can start proceedings to strike the company off.
So deposit the subscription money soon after the bank account opens, and file as soon as the bank statement shows it.
Frequently asked questions
Does every company need to file INC-20A?
Every company with share capital incorporated from 2 November 2018 onwards does. Companies without share capital, such as companies limited by guarantee, don't.
What is the deadline?
180 days from the date of incorporation shown on the certificate of incorporation. We work out the exact date for you.
Can we start business before filing?
The law says the company can't commence business or exercise borrowing powers until the declaration is filed, so file it as early as you can.
We missed the 180 days. Can we still file?
Yes, with additional MCA fees for the delay. Penalties may still apply, so file as soon as possible.
Does the full authorised capital need to be paid?
No. Only the shares the subscribers agreed to take in the MOA need to be paid for, not the whole authorised capital.
Who certifies the form?
A chartered accountant, company secretary or cost accountant in practice. Our fee includes it.
